Representation Terms

These Representation Terms govern the relationship between TOROTIC TURİSTİK HİZMETLER YAZILIM VE BİLİŞİM ÇÖZÜMLERİ TİCARET LİMİTED ŞİRKETİ ("toroti", "we") and the professional tourist guide ("Representative") who applies for representation through https://toroti.com and whose application is approved by toroti. Ticking the consent box on the application form makes these terms binding as a contract between the parties; no separate contract is signed.

1. Nature of the relationship

This is not an employment contract. The Representative is not an employee, worker, agent or commercial representative of toroti, and cannot incur obligations, give undertakings or sign contracts on toroti's behalf. There are no working hours, daily instructions, reporting duties or equipment provided; the Representative works independently.

2. Who can become a Representative

Representation is open only to professional tourist guides, whether or not currently practising. Applicants are expected to have:

• A valid professional tourist guide licence.
• Local knowledge of the sights, cultural stops and gastronomy of their region.
• The ability to approach tourism businesses in their region and bring them into the ecosystem.
• Enough digital literacy to use mapping tools and the Representative panel.
• A record of acting in line with tourism legislation.

Acceptance is at toroti's discretion. We verify licence and identity details and may interview the applicant. We are not obliged to give reasons for a rejection.

3. Regions

Türkiye is divided into 53 regions based on the density of tourism suppliers; some provinces are split and others combined. The Representative selects one region when applying.

• One Representative per region. No second Representative is appointed to a region already assigned.
• A Representative serves in one region at a time.
• Representation cannot be transferred or sub-delegated.
• toroti may redraw the regional division where needed.

4. Duties and powers

The Representative's principal duty is to bring the tourism suppliers of their region — accommodation providers, restaurants and cafés, travel agencies, tour vehicles, car rental companies and the like — into the toroti ecosystem.

• Approval rests with toroti. The Representative cannot approve or reject a business's registration; they introduce the business, bring it into the system and speak to its quality. toroti approves the record.
• The Representative may not collect payment from businesses under any circumstances. All payments are made directly to toroti through its payment infrastructure.
• The Representative may not give businesses undertakings as to price, scope or outcome on toroti's behalf.
• Use of the brand and title is limited to the material toroti supplies.
• Contributing routes, places and coordinates is not the Representative's principal duty. They may submit contributions through the panel, and toroti may ask them to verify the coordinates or details of a place. Contributions do not change the catalogue directly; they are published after review.

5. Revenue share

The revenue share is calculated on the listing, membership and advertising fees paid to toroti by businesses in the region, exclusive of VAT. The businesses' own turnover is not the basis.

Based on the number of businesses brought into the system in a given month:

• 1-30 businesses: 15% of the revenue,
• 31-60 businesses: 25% of the revenue,
• 61 or more: 35% of the revenue.

A further 10% is paid on other revenue arising in the region (advertising, renewals and the like).

toroti credits the Representative with revenue arising in their region even where the Representative was not involved in it.

6. Payment and documentation

Entitlements are calculated monthly and reported in the Representative panel. Payment follows the Representative's documentation status:

• With a company: the Representative issues a service invoice to toroti against the monthly statement; payment reaches their bank account within 3 business days of the invoice, VAT included.
• Without a company: toroti issues an expense voucher; statutory withholding is paid to the state on the Representative's behalf and the net amount is deposited. The withholding rate follows the nature of the payment.

Where a Representative cannot yet issue the required document, entitlements accrue and are paid retrospectively once their status is settled.

7. Content and intellectual property

Clause 5 of the Terms of Use applies to photographs, descriptions, places, routes, itineraries, coordinates and similar content the Representative uploads or transfers to the Platform: the economic rights in that content are assigned to TOROTIC TURİSTİK HİZMETLER YAZILIM VE BİLİŞİM ÇÖZÜMLERİ TİCARET LİMİTED ŞİRKETİ perpetually, worldwide, royalty-free, non-exclusively and with the right to sub-licence.

• The assignment survives the end of the representation. The Representative cannot require content they previously shared to be deleted or withdrawn from use.
• No separate fee, right or claim arises for the Representative in respect of that content.
• toroti may use the data it hosts on the Platform in its own products and services, in databases, in artificial-intelligence applications and in commercial collaborations with third parties.
• The author's moral rights are reserved and are not assignable.

8. Competition

The Representative is under no non-compete and no exclusivity of effort. They may continue to use the cultural routes, walking and cycling itineraries and similar tourism projects they have developed on other platforms, and may work with other platforms. This freedom does not displace the assignment in clause 7 or the confidentiality duty in clause 9.

9. Confidentiality and data

The Representative accesses the contact details of businesses in their region through the panel. That information may be used only for the representation activity; it may not be exported in bulk or shared with third parties. Panel access is closed when the representation ends. 10. Term and termination

Representation runs for one year in the ordinary course and renews automatically for further one-year terms unless one party ends it. It may, however, be ended at any time:

• The Representative may resign at any time without giving reasons.
• toroti may end the representation unilaterally at any time without giving reasons.
• Representation ends automatically on the Representative's death, declaration of absence or loss of legal capacity.
• Representation ends automatically on the bankruptcy, liquidation or transfer of the Representative's commercial enterprise.
• Representation ends immediately, and the account is closed, on breach of clause 11.

The revenue share ends with the representation. No share is paid on revenue arising in the region after the end date, including revenue from businesses the Representative previously brought in. Amounts earned up to the end date, for which the required document can be issued, are paid.

11. Prohibited conduct

• Collecting money from businesses on toroti's behalf.
• Giving unauthorised undertakings or making misleading statements on toroti's behalf.
• Exporting business data accessed through the panel in bulk, or sharing it with third parties.
• Using the Platform for unlawful purposes, extracting data in bulk by automated means (scraping), or attempting to circumvent security measures.
• Using the toroti brand, logo or title beyond the material supplied.

12. Changes

These terms may be updated from time to time. The current text is published on this page and material changes are notified to Representatives by email.

13. Governing law and jurisdiction

Turkish law applies. The courts and enforcement offices of Manavgat/Antalya have jurisdiction.
